Distributed decisions
No individual Board member may approve or execute a Board decision alone.
Subject to change. This roadmap is a public draft. Its structure, timelines, and terms may be revised as the governance process moves forward.
HSuite DUNA · Transitional Governance Roadmap
The HSuite DUNA provides the legal and institutional structure for community coordination, education, ecosystem participation, Treasury stewardship, and the transition toward broader governance.
Members serving a defined stewardship mandate.
Affirmative votes required for Board decisions.
Approvals must come from non-conflicted members.
Handover, sunset, narrowing, or documented extension.
One ecosystem · Three distinct layers
The DUNA does not replace the HSuite protocol or its technical infrastructure. Administrative work performed by the DUNA does not make the Board the permanent technical controller of the protocol.
Community coordination, education, ecosystem programs, Treasury stewardship, and governance administration.
Rules and processes for proposals, participation, voting, delegation, execution, and accountability.
The technical network, infrastructure, products, and services that enable builders and applications.
The DUNA is the entity. The governance model defines how that entity is governed.
Six governance principles
No individual Board member may approve or execute a Board decision alone.
Roles, approvals, delegations, and material decisions must be recorded.
Board decisions require the established multi-member threshold.
Actual, potential, and perceived conflicts must be disclosed and managed.
Resources must support HSuite's nonprofit and ecosystem purposes.
Board authority should narrow as the governance model becomes operational.
Transitional Board
The Board moves HSuite from informal coordination toward a documented, auditable, and participatory governance structure. It is a stewardship and transition body, not the permanent final governance authority of the ecosystem.
Applies to ordinary Board decisions and Treasury authorizations, unless a governing document sets a stricter requirement. No signature, transaction, or technical action replaces the underlying approval.
Conflict-of-interest framework
The member discloses the conflict before deliberation or approval.
The disclosure is recorded in the Decision Log.
The conflicted member may provide factual information when requested.
The conflicted member does not vote on the affected matter.
Five affirmative votes must come from non-conflicted members.
If five non-conflicted approvals are not available, the matter is deferred or submitted to an independent review process.
Related-party payments, grants, compensation, commercial arrangements, Treasury transactions, and decisions involving entities connected to a Board member.
Treasury stewardship
The Treasury is held and administered for mission-aligned purposes. It is not the personal property of Board members, token holders, contributors, or service providers.
Treasury activity follows documented approvals, role separation, appropriate security controls, and an auditable record from decision to execution.
Membership and voting participation
A person or entity that holds HSUITE tokens.
A participant who meets the eligibility and validation requirements set by the DUNA's governing rules.
An eligible member authorized to vote on a specific decision under the applicable voting and record-date rules.
Holding HSUITE tokens does not, by itself, create legal membership, voting rights, profit rights, dividend rights, or a claim on Treasury assets. The membership framework will define eligibility, validation, participation rights, record dates, dispute procedures, and the relationship between token-based participation and legal membership.
Transparency and accountability
The Board maintains a Decision Log for material governance and Treasury decisions. Public summaries keep decisions understandable while protecting keys, security procedures, confidential agreements, and personal data.
The matter and requested authority are described.
Scope, risks, and mission alignment are considered.
Relevant interests and abstentions are disclosed.
The applicable threshold is met and recorded.
The approved action is carried out.
Resulting evidence completes the record.
Limits on Board authority
Become a permanent unelected control layer.
Allow a single member to control decisions or Treasury actions.
Override the governance model after authority has been transferred.
Create undocumented economic rights or claims against the Treasury.
Use resources for non-mission-aligned or undisclosed purposes.
Represent HSuite governance as fully decentralized before the relevant processes are operational.
Board authority should become narrower as membership, proposals, voting, and accountable execution move into the broader governance model.
Transition roadmap
A transition assessment recommends one of:
Any extension should be approved through a documented governance process.
The objective is not decentralization by declaration. It is accountable governance demonstrated through rules, participation, and verifiable operations.
